Legal Counsel
Job Summary:
We are seeking a highly motivated and agile Legal Counsel (about 5 years’ PQE) to join our legal team. You will provide day-to-day legal support and regulatory guidance to RD Group, with a core focus on our cross-border payment business, Fintech innovations, and licence maintenance. The ideal candidate will possess a solid understanding of the payment ecosystem, and hold dual-legal qualifications.
Key Responsibilities:
1. Regulatory & Compliance Advisory
- Provide practical legal advice on regulatory matters, compliance frameworks, and licensing regimes affecting RD Group’s cross-border payment, Fintech, and Web3 businesses.
- Lead legal strategies for complex cross-border regulatory issues, including VASP compliance, and payment services regulations across APAC, EU, and LATAM.
- Monitor regulatory changes and assist in drafting responses to inquiries from regulators, including the Hong Kong Customs, HKMA, and SFC.
2. Commercial & Product Advisory
- Review, draft, and negotiate a wide range of complex commercial agreements, including B2B payment service agreements, bank partnership contracts, vendor agreements, and intra-company service agreements.
- Provide legal support on product structuring, market entry strategies, and cross-border data privacy across the APAC and overseas markets.
3. Dispute Management & Special Projects
- Handle legal disputes, regulatory complaints, and contentious matters; conduct legal research and prepare regulatory submissions to mitigate legal risks.
- Liaise with and manage external counsel on litigious or specialised overseas regulatory matters.
- Support ad hoc strategic initiatives, such as corporate restructuring, fund-raising, and cross-functional projects.
4. Corporate Governance
- Assist in corporate governance matters, including preparing board minutes, shareholders’ resolutions, and maintaining internal policies in alignment with best practices.
Requirements:
- Legal Qualification:
- Admitted to practice law in Hong Kong (Required, about 5 years’ PQE preferred).
- Dual qualification is highly preferred: Holder of a valid PRC legal qualification (Bar) or an equivalent qualification in another major jurisdiction (e.g., US, UK, or Australia).
- Industry Expertise: Minimum 3+ years of robust in-house or top-tier law firm experience focusing on Fintech, cross-border payment services, or financial services.
- Licence Experience: Hands-on experience with Hong Kong MSO regulations and licensing processes is a strong advantage. Familiarity with SVF, VASP, or Web3 frameworks is a plus.
- Commercial Acumen: Strong track record in structuring and drafting commercial contracts, with the ability to provide solution-oriented, business-friendly legal advice under tight deadlines.
- Language Skills: Excellent command of written and spoken English and Chinese (both Mandarin and Cantonese) is essential for drafting contracts and communicating with cross-border stakeholders.
