Cboe is seeking a Senior Counsel to provide legal support to Cboe’s futures business conducted by Cboe Futures Exchange, LLC (CFE), a futures exchange regulated by the Commodity Futures Trading Commission (CFTC) and the Securities and Exchange Commission (SEC). As a regulated entity, CFE operates in a highly regulated environment and compliance by CFE with its legal and regulatory obligations is paramount in the conduct of its business. This position is in Chicago, Illinois.

Duties and Responsibilities:

Perform a combination of the functions listed below. Particular day-to-day functions may vary among certain of the following functions depending upon priorities at that time.

  • Draft CFE rules and rule filings to the CFTC and SEC to explain the purpose and basis of those rules.
  • Draft CFE product filings to the CFTC to explain those products and their compliance with applicable requirements.
  • Draft and review CFE user documentation, notices, website materials, policies and procedures, and other documents and materials relating to the operation and products of CFE.
  • Draft required CFE submissions and reports to the CFTC, SEC, and other regulatory agencies.
  • Provide legal support to Cboe staff, including providing guidance regarding CFE rules and applicable law and regulation relating to the functions of CFE, CFE products, and CFE business initiatives.
  • Monitor for changes in legal requirements applicable to CFE or that could have potential impact in relation to CFE’s business.
  • Provide legal support for functions relating to compliance with the requirements applicable to CFE and CFE products.
  • Provide legal guidance relating to regulatory requests, exams, inspections, and/or similar matters involving CFE.
  • Draft comment letters and regulatory proposals to the CFTC, SEC, and other regulatory agencies, including regarding proposed regulations and proposed self-regulatory organization (SRO) rules.
  • Conduct legal research related to the federal laws and regulations relating to futures, securities, and swaps and the rules of other SROs and provide analysis and recommendations based on that research.
  • Handle a number of other legal matters, which could include, among other things, providing legal support related to Cboe’s U.S. clearing functions and/or other Cboe product asset classes.
  • Assist with various legal projects across the Legal Division and perform other duties as assigned.
  • Maintain high standards of legal and regulatory compliance and promote a culture of compliance.

Experience:

Minimum of 4 years of experience as a practicing attorney focused on matters relating futures, securities, and/or other exchange traded derivative products. Previous employment at the CFTC or SEC or a futures or securities exchange is desirable.

Knowledge, Skills and Abilities:

  • Strong writing skills and the ability to express complex subject matter in an accurate, clear, and straightforward manner.
  • Ability to effectively communicate both orally and in writing and to effectively interact with internal and external contacts.
  • Experience in drafting rule filings as well as a working knowledge of the futures, securities, and/or derivatives markets and of the broader financial markets is a plus.
  • Strong attention to detail and the ability to articulate complex concepts with the level of detail that is necessary for various regulatory filings and other written communications.
  • Working knowledge of futures, securities, and/or derivatives laws and regulations.
  • Ability to work independently and to work cooperatively in group situations; offer assistance and support to co-workers; balance team and individual responsibilities; exhibit objectivity and openness to others’ views; give and welcome feedback.
  • Proven analytical and problem-solving skills.
  • Ability to organize and prioritize work assignments; strong time management experience and skills; and ability to complete multiple tasks simultaneously with accuracy and quality, to adjust to changes in priorities and situations, and to meet deadlines.

Education/License(s):

  • Bachelor’s Degree and Juris Doctorate.
  • Licensed to practice law.
  • Computer proficiency in Microsoft Office Suite applications including Word, PowerPoint, Excel, and Outlook, as well as document management and other office technologies.

Our pay ranges are determined by a number of factors, including, but not limited to, role, experience, level, and location. The national new hire base pay range for this job in the United States is $157,250-$194,250. This range represents the minimum and maximum base pay the company expects to offer for new hires working in the position full time. If you live in one of the following areas or if you work in a Cboe office in the following areas, the range may be higher according to the geographic differentials listed below:

US Geographic Differentials:

  • 110%: Austin TX, Chicago IL, Denver CO, San Diego CA

  • 115%: Los Angeles CA, Seattle WA

  • 120%: Boston MA, Washington DC

  • 125%: New York City NY

  • 130%: San Francisco CA

Within the range, individual pay is determined by a number of factors, including, but not limited to, work location, job-related skills, experience, and relevant education or training.
