Key Responsibilities:
- Support all post-listing legal and regulatory obligations as a U.S.-listed company, including preparation, review, and coordination of periodic and ongoing filings with the U.S. Securities and Exchange Commission (SEC), and other applicable disclosures.
- Ensure compliance with U.S. securities laws, disclosure requirements, and corporate governance standards, including NYSE/Nasdaq listing rules (as applicable).
- Assist in establishing and maintaining disclosure controls and procedures, internal policies, and governance frameworks required of a public company.
- Work closely with internal stakeholders and external counsel to ensure timely, accurate, and consistent disclosures across all public communications.
- Advise internal teams on continuous disclosure obligations, materiality assessments, and regulatory risks.
- Support board and committee matters, including preparation of board materials, resolutions, and governance documentation.
- Draft, review, and negotiate a broad range of commercial agreements, including trading, custody, asset management, lending, and technology-related contracts.
- Provide legal support on corporate and group structuring matters, including cross-border governance and entity management.
- Liaise with external counsel, auditors, regulators, and other professional advisers as required.
- Monitor legal and regulatory developments, particularly in relation to U.S. securities laws and digital assets, and advise on their impact to the business.
- Provide general legal support across business functions including Product, Risk, Compliance, Finance, and Operations.
Qualifications and Skills:
- Qualified lawyer with a law degree and 3–5 years of relevant post-qualification experience.
- Prior experience advising on U.S. public company compliance, SEC reporting, or capital markets is strongly preferred.
- Experience in a top-tier law firm or financial institution, with exposure to corporate, securities, or regulatory matters.
- Strong understanding of ongoing SEC reporting and disclosure obligations is highly desirable.
- Strong drafting skills with experience in commercial agreements and corporate documentation.
- Ability to manage multiple workstreams and operate effectively in a fast-paced, evolving environment.
- Strong analytical, communication, and stakeholder management skills.
- Detail-oriented with a strong sense of ownership and accountability.
- Interest in digital assets, fintech, or financial services is advantageous.
- Fluency in Mandarin is a plus but not required.
