About the Role

The Legal Counsel provides legal support to the business of GTC/Komgo, including but not limited to contract drafting (specifically SaaS), corporate matters as well as KYC/compliance.

The position of Legal Counsel reports to Komgo General Counsel. The position can be in Geneva, the UK, Miami or in France.

Responsibilities

  • Supervise and secure efficient and knowledgeable legal support to business of GTC/Komgo, including but not limited to contract drafting (specifically SaaS), corporate matters, legal support for management team, legal support for sales team, project and business development as well as KYC/compliance.
  • Participate in the development, review and negotiations of company’s general terms, policies, procedures, programs, practices, business strategies and ensure compliance and conformity with standards set forth in the applicable laws.
  • Draft, review and interpret legal documentation, analyse legal issues and make recommendations on action to be taken in substantial legal matters.
  • Review, interpret and apply market practice, industry regulations and court rulings, conduct legal research and represent the company before governmental and regulatory authorities
  • Evaluate, negotiate and draft contractual terms in connection with transactions in different jurisdictions, and advise appropriate personnel of the degree of legal risk associated with such transactions prior to the company becoming a party or otherwise legally bound.
  • Provide counsel and guidance on legal implications of transactional and operational matters to management and sales teams, different company departments and group companies, including but not limited to follow-up reporting requirements of legal/corporate function, ensure that all necessary group approvals have been obtained and applicable procedures in relation to the above responsibilities, prepare, draft and review corporate documents for all group companies (board resolutions, minutes of annual or extraordinary general meetings, changes of articles of association, directors, etc.).
  • Ensure and promote compliance with applicable laws and/or regulatory environment, including but not limited to raising awareness of key legal issues within the group, identify and propose solutions to mitigate legal risks, AI, GDPR, and/or maintain existing client identification (KYC).
  • Work closely with other functions in the company/group, including but not limited to human resources, finance and accounting/tax to ensure that their interests are taken into account in corporate development and commercial projects.
  • Review and coordinate use of outside law firms and other advisers by the company.
  • Manage assigned or delegated special projects (including but not limited to AI related projects) and tasks to completion in an efficient, economical manner in accordance with company goals and objectives and perform other tasks assigned/allocated by management of the company.
  • Ensure smooth back-up of legal functions with group companies.
  • Prepared to travel. Travel not regular but can be worldwide.

Qualifications

  • University degree in law or equivalent nationally approved qualification.
  • Admitted to practice law (past admission satisfactory for countries which do not allow inhouse lawyers to remain admitted).
  • 3 to 5 years professional legal experience in an international law firm or a large national law firm with substantial practice experience in corporate and contractual/transactional work. Equivalent in-house experience with multi-national company (especially in SaaS) is an advantage but not essential.
  • Good knowledge and interest of tech and SaaS enterprise software is a plus.
  • Ability to distinguish and analyse relevant facts and make sound and reasoned legal conclusions.
  • Ability to proactively assist internal teams and to work independently while keeping others informed.
  • Good communication and legal writing skills.
  • Commercial minded, aiming at supporting the growth of the business.
  • Readiness to handle a mixture of corporate, commercial and contractual (SaaS) work.
  • Strong working level fluency in English (both spoken and written).
  • Proficient in Microsoft Office Suite applications.
