Your Role

We are looking for a Legal Counsel to serve as a senior legal partner to the business and leadership team. This role is central to enabling Cinch’s next stage of growth and requires strong commercial judgment, transactional experience, and the ability to operate autonomously in a fast-moving environment.

The Legal Counsel will own a broad legal remit covering commercial contracts, subscription models, licensing, governance and compliance, M&A transactions, and regulatory matters. This is not a narrow regulatory or contracts-only role — it is a strategic position designed to reduce reliance on external counsel and support high-impact business decisions.

Key Responsibilities

Commercial & Corporate Legal

  • Draft, review, and negotiate a wide range of commercial agreements, including:
    • Subscription agreements (B2C, B2B, B2B2C)
    • Vendor, supplier, and master service agreements
    • Shareholder agreements, side letters, and NDAs
  • Partner closely with leadership, finance, and commercial teams to provide pragmatic, commercially sound legal advice
  • Support cost–benefit analysis and decision-making on legal structuring, risk exposure, and external counsel usage

M&A, Acquisitions & Strategic Transactions

  • Support mergers, acquisitions, and strategic investments, including:
    • Legal due diligence
    • Transaction structuring and execution
    • Coordination and management of external counsel
  • Advise on new entity setup, group structuring, and off-balance-sheet arrangements where required

Governance, Compliance & Licensing

  • Own and maintain corporate governance frameworks, including internal policies, board-related matters, and group-wide standards
  • Oversee compliance frameworks across markets, ensuring alignment with operational and growth objectives
  • Manage licensing requirements across jurisdictions, distinct from general regulatory advisory
  • Translate regulatory and legal developments into clear, actionable guidance for the business

Regulatory & Risk Management

  • Handle regulatory inquiries, escalations, and investigations as needed
  • Manage regulator engagement and relationships where required
  • Balance legal, commercial, and operational considerations in a high-growth, resource-constrained environment

Qualifications

  • 8–10+ years of post-qualification legal experience, with a mix of in-house and/or top-tier law firm background
  • Strong experience in:
    • Commercial contracts and subscription-based business models
    • M&A transactions and acquisitions
    • Corporate governance and compliance
    • Licensing frameworks
  • Proven ability to operate independently and partner directly with founders and senior leadership
  • Commercially minded, pragmatic, and solutions-oriented
  • Comfortable working in ambiguity and scaling environments
  • Regional or cross-border experience is a strong advantage
