What you’ll do

  • Ensure the company’s compliance with statutory and regulatory requirements, including managing external company secretarial firms, maintenance of all statutory registers, records, and filings (e.g., annual returns, statements, and disclosures).
  • Advise the Board of Directors and senior management on corporate governance best practices, regulatory developments, and compliance obligations.
  • Organize, prepare agendas for, and take minutes at Board and committee meetings.
  • Draft, review, and manage documentation related to company secretarial duties, including resolutions, announcements, and circulars.
  • Liaise with regulatory bodies, including the Registrar of Companies.
  • Maintain and update the company’s constitutional documents and ensure implementation of approved changes.
  • ⁠Support directors with onboarding, induction, and continuous professional development regarding governance responsibilities.
  • Manage share administration matters such as share issues, transfers, dividends, and maintaining the share register.
  • Prepare and file necessary documents in relation to changes in share capital, directorships, or registered office.
  • Proactively monitor changes to relevant laws and regulations and implement necessary adjustments to company secretarial policies and procedures.
  • Handle confidential and sensitive information with a high degree of professionalism.

What you’ll need

  • ⁠Company Secretary qualification.
  • Minimum 5-8 years’ relevant company secretarial experience, preferably in a multinational company.
  • Sound knowledge of corporate secretarial practices, local corporate laws and regulations.
  • ⁠Proven experience in managing board processes and preparing high-quality board/committee documentation independently.
  • Strong attention to detail and organizational skills, with an ability to prioritize and manage multiple assignments to meet deadlines.
  • High level of integrity, professionalism, and discretion when handling confidential information.
  • Ability to work autonomously, take initiative, and drive solutions, with minimal supervision.
  • ⁠Proficiency in MS Office and relevant board management or e-filing platforms.
