Your Role

As Associate General Counsel at Sentient, you will be at the forefront of protecting the company’s innovation through robust intellectual property strategy and strategic legal structuring. This is a unique opportunity to lead IP and corporate legal efforts within a deeply technical organization driving breakthroughs in decentralized and trustless computation. You’ll work across IP, M&A, and corporate governance, advising cross-functional teams and influencing strategic outcomes. Your Responsibilities

Intellectual Property Strategy

  • Manage and grow Sentient’s global IP portfolio, including patents, trademarks, and trade secrets

  • Provide legal counsel on open-source licensing, software IP, and brand strategy

  • Oversee external counsel handling global IP filings, enforcement, and oppositions

  • Develop internal workflows for invention disclosure, IP review, and risk assessment

  • Lead training initiatives on IP protection for technical and business teams

M&A and Group Reorganization

  • Provide legal guidance on IP structuring within corporate reorganizations and strategic transactions

  • Support due diligence, deal execution, and post-closing integration for M&A initiatives

  • Draft and negotiate IP-related agreements including licensing, assignments, and transition terms

  • Coordinate legal input across jurisdictions to ensure efficient and compliant structures

Corporate Legal

  • Review and draft commercial contracts such as NDAs, vendor agreements, and licensing deals

  • Support global entity management and documentation for governance and shareholder actions

  • Advise on intercompany arrangements and capital structuring from a legal perspective

  • Maintain legal entity documentation and contract management systems

Governance and Compliance Support

  • Contribute to the development and implementation of IP and corporate legal policies

  • Assist in managing board and shareholder processes globally

  • Track legal developments that may impact IP and corporate structuring

  • Ensure legal practices are aligned with applicable corporate governance standards

Cross-functional Collaboration

  • Collaborate with engineering, IT, marketing, and finance teams on legal and strategic initiatives

  • Provide accessible legal guidance to non-legal teams under fast-paced conditions

  • Help scale legal operations and knowledge-sharing practices globally

  • Manage relationships with external counsel and advisors

What You’ll Need

  • 7+ years of experience in IP and corporate law, ideally in both law firm and in-house roles

  • Demonstrated success managing patent and trademark portfolios, including strategy, filings, and enforcement

  • Experience supporting M&A, reorganizations, and structuring from an IP perspective

  • Strong contract drafting and negotiation experience across jurisdictions

  • Familiarity with global entity governance, intercompany arrangements, and compliance frameworks

Preferred Qualifications

  • Built IP workflows or inventor contribution frameworks in scaling tech organizations

  • Hands-on patent prosecution experience across key jurisdictions (e.g., USPTO, EPO)

  • Knowledge of open-source ecosystems, especially in crypto or AI

  • Excellent communication skills and ability to influence non-legal stakeholders

  • Strategic mindset with the ability to execute autonomously in ambiguous legal environments

Suggested Competencies for Associate General Counsel:

  1. IP Strategy & Execution: Ability to define, protect, and expand a global IP portfolio, including patents, trademarks, and trade secrets.

  2. Corporate Transactions & Structuring: Experience managing IP and legal issues during M&A, reorganizations, and complex group structuring.

  3. Legal Drafting & Risk Mitigation: Skill in drafting high-quality contracts and identifying legal risks in commercial, governance, and vendor agreements.

  4. Cross-functional Collaboration: Demonstrated success in partnering with technical and non-legal teams to integrate legal processes into workflows.

  5. Global Legal & Governance Acumen: Familiarity with global governance and compliance practices across multiple jurisdictions.

  6. Communication & Legal Judgment: Ability to deliver clear, concise legal advice under time pressure and in ambiguous situations.
