About the role
We are seeking an experienced attorney to join our legal team as Assistant General Counsel, Corporate (AGC Corporate). The AGC Corporate will serve as a key legal partner to the executive, operations and finance teams across a wide range of critical areas including corporate governance, corporate development, strategic structuring initiatives, compensation and benefits, employment, tax and dispute resolution.
In addition to overseeing traditional corporate legal responsibilities, the AGC Corporate will drive and maintain the legal architecture for tokenized real-world asset (RWA) issuers, and will be responsible for launching and managing the company’s participation in funds as general partner, investment manager, or advisor.
This role requires a business-minded, highly strategic attorney who thrives in a fast-paced, rapidly evolving environment and is comfortable working on first-of-their-kind legal challenges.
Responsibilities
- Lead corporate legal workstreams including governance, entity management, and financings
- Lead structuring, formation, and legal compliance of tokenized real-world asset issuers
- Serve as lead internal counsel for corporate development initiatives including M&A, strategic investments, and joint ventures, managing deal execution from term sheet to integration
- Manage legal aspects of the company’s compensation and benefits, employment and tax matters, including equity and token-linked compensation programs and employment-related policies
- Oversee disputes and pre-litigation matters, working closely with external counsel as needed
- Launch and manage the firm’s participation in investment funds
- Collaborate cross-functionally to ensure legal compliance and operational efficiency in new product and structure launches
- Monitor relevant legal and regulatory developments in corporate, tax, employment, M&A, and digital asset-related matters
- Prepare and deliver legal trainings and resources to internal stakeholders
- Enhance internal legal operations and processes for corporate workflows
Requirements
- JD degree from an accredited U.S. law school.
- 6-8+ years of transactional legal experience at a major law firm and/or a high-growth blockchain or fintech company
- Advanced knowledge of corporate and securities laws, including some or all of the 33 Act, 34 Act, 40 Act and Investment Advisers Act
- Strong knowledge of anti-money laundering, tax and other financial laws and regulations
- Deep understanding of blockchain industry; knowledge of tokenization is a plus
- Excellent analytical, research, and writing skills
- Strong communication and interpersonal skills
- Detail-oriented with a high level of accuracy and attention to detail
- Ability to manage multiple projects and deadlines simultaneously
- Ability to work independently and as part of a team
